1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Sports11win ("Company," "we," "our," or "us"), a private limited company incorporated under the laws of India and having its registered office at BS-5, SECTOR 10, CHITRAKOOT YOJNA, JAIPUR, Rajasthan, 302021.

By accessing our website synarion.shop, using our services, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

Sports11win provides the following IT services:

• Web development and design
• Mobile application development
• Enterprise software solutions
• Blockchain and AI services
• Digital marketing and SEO
• UI/UX design services
• Software testing and quality assurance
• IT consulting and support

3. Service Agreement and Scope

3.1 Project Initiation

All projects begin with a detailed consultation to understand client requirements. A formal project proposal, including scope, timeline, and pricing, will be provided before project commencement.

3.2 Scope of Work

The scope of work for each project will be clearly defined in a separate agreement or statement of work (SOW). Any changes to the agreed scope may result in additional charges and timeline adjustments.

3.3 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely provision of necessary content, assets, and feedback
• Making timely decisions to avoid project delays
• Ensuring all provided content complies with applicable laws
• Payment of fees as per agreed terms

4. Payment Terms

4.1 Pricing and Invoicing

Project pricing will be provided in the project proposal. All prices are in Indian Rupees (INR) unless otherwise specified. Invoices will be sent as per the agreed payment schedule.

4.2 Payment Schedule

Standard payment terms include:

• Small Projects: 50% advance, 50% on completion
• Medium Projects: 30% advance, 40% on milestone completion, 30% on final delivery
• Large Projects: Custom payment schedule as agreed

4.3 Late Payments

Late payments may result in project suspension and additional charges. Interest at 2% per month may be charged on overdue amounts beyond 30 days.

5. Intellectual Property Rights

5.1 Client-Owned Content

Clients retain ownership of all content, data, and materials provided to Sports11win for project purposes.

5.2 Developed Work

Upon full payment, clients will receive ownership rights to the final deliverables specific to their project. However, Sports11win retains rights to:

• General methodologies and development techniques
• Code libraries and frameworks we've developed
• Knowledge and experience gained during the project
• Portfolio rights for marketing purposes (with client consent)

5.3 Third-Party Components

Some projects may include third-party software, plugins, or components subject to their respective licenses. Clients are responsible for compliance with such licenses.

6. Confidentiality

Sports11win commits to maintaining strict confidentiality of all client information, business data, and proprietary information. We will not disclose such information to third parties without client consent, except as required by law.

7. Project Timeline and Delivery

7.1 Timeline Estimates

Project timelines are estimates based on project scope and complexity. Actual delivery may vary due to scope changes, client feedback cycles, or unforeseen technical challenges.

7.2 Delays

Sports11win is not liable for delays caused by:

• Client delays in providing feedback or approvals
• Changes in project scope or requirements
• Third-party service dependencies
• Force majeure events

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional skill and in accordance with industry standards. We provide a 90-day warranty on deliverables against defects in workmanship.

8.2 Disclaimers

Except as expressly stated, all services are provided "as is" without warranties of any kind. Sports11win disclaims all implied warranties including merchantability and fitness for a particular purpose.

9. Limitation of Liability

Sports11win's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

10. Support and Maintenance

10.1 Post-Launch Support

We provide basic support for 30 days after project delivery. Extended support and maintenance services are available under separate agreements.

10.2 Updates and Modifications

Any modifications or updates to delivered work after project completion will be subject to additional charges based on our current rates.

11. Termination

11.1 Termination by Client

Clients may terminate projects with 15 days written notice. All work completed up to termination date will be invoiced, and clients will receive deliverables for paid portions of work.

11.2 Termination by Company

Sports11win may terminate services for non-payment, breach of terms, or if continuation becomes commercially unfeasible.

12. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan.

14. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to such collection and use as described in our Privacy Policy.

15. Modification of Terms

Sports11win reserves the right to modify these Terms at any time. Material changes will be communicated to existing clients. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any executed project agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
